Subject fundamentals
The module provides the tools to identify and address the legal implications related to business activities with particular reference to the dynamics of corporations and financial markets, management processes and reorganization of companies, as well as rules governing their contractual behavior in the market and the innovation process.
Expected learning outcomes
Knowledge of the legal language with reference to business operations. Familiarity with the legal framework that regulates enterprises. Ability to understand and correctly frame the legal problems that may arise in the course of work activities, perceiving legal implications and understanding legal texts.
Prerequisites / Assumed knowledge
Knowledge acquired in the course of fundamental legal knowledge and familiarity with legal language and general principles of contract law.
Introduction and institutional section (approximately 50 hours):
- Identification of enterprise and analysis of the rules specifically addressed to productive economic activities (8 hours)
- The conduct of the enterprise in the market: rules on competition and protection of freedom of competition (6 hours)
- Contracts and role of the enterprise in trade relations: general principles of protection of the weaker party (4 hours)
- Intellectual property: protection of distinctive signs and innovation (6 hours)
- The collective enterprise: general principles regarding companies’ operation and governance of limited liability companies (26 hours)
Part two of the program (approximately 30 hours arranged essentially in a seminar format).
Four teams created – as far as possible – on the basis of students’ specific interests as they intends to develop in subsequent courses:
A) Regulation of corporations, extraordinary transactions - Changes of ownership structure: acquisitions, mergers, spin-offs and conversions – Creation of a business and its financing, forms of cooperation, European Company
B) Regulation of financial markets – Rules on issuers of securities – Collective investment schemes
C) Contractual activity of the enterprise – Particular types of contracts and integrated business cooperation: EEIG, consortia, joint ventures, contracts of enterprise networks and network contracts.
D) Competitive behavior of the enterprise and purpose of antitrust regulation – Innovation in enterprises and legal issues related to the protection and exploitation of inventions and development of new technologies.

Texts, readings, handouts and other learning resources
In the first part of the program students will be provided with indication on textbooks. Unless indicated differently in class, the textbook of reference is chosen by the student between the following alternatives:
Campobasso, Manuale di diritto commerciale, UTET, Turin, latest edition available
Gustavo Vicentini - Andrea Palazzolo, Compendio di diritto commerciale, Cedam, Padova, 2013 or other most recent edition.
Other textbooks may be advised at the beginning of the course
It is essential to become familiar in the use of the civil code that must be used during the course. Statutes can be downloaded from the internet, according to the instructions of the teacher. For the second part, specific materials will be provided by the teacher / tutor.
Assessment and grading criteria
Final exam is a written test, relating to a series of questions in the form of case. In particular, we will put forward two or three questions relating to the general part and a question on the materials analyzed in the study group.
